These Platform Terms & Conditions (“Terms”) govern access to and use of the Now8 platform, including all subdomains operated under the now8.digital and now8.store domains (the “Platform”).
By accessing or using the Platform, you agree to be bound by these Terms.
1. Definitions
“Now8” refers to the technology platform operated by or on behalf of NuMetric Accounting Technology.
“Merchant” refers to any independent business or individual operating a store on the Platform.
“Customer” refers to any end user browsing or purchasing from a Merchant’s store.
“Platform Services” means the technical infrastructure enabling storefront display, order routing, and checkout user interfaces.
“Third-Party PSP” means external payment service providers used by Merchants.
2. Nature of the Platform
Now8 is a technology platform only.
Now8:
Does not own, sell, resell, ship, or deliver any products or services.
Does not act as a merchant, reseller, distributor, agent, or representative of any Merchant.
Is not a party to any transaction between a Merchant and a Customer.
All transactions are conducted directly and exclusively between Merchants and Customers.
3. Merchant Independence
Merchants operating on the Platform are independent sellers and retain full responsibility for:
Products or services offered
Pricing, availability, and descriptions
Invoicing, taxes, duties, and compliance
Fulfillment, shipping, returns, and refunds
Customer service and dispute handling
Nothing in these Terms creates any partnership, agency, employment, or joint venture relationship between Now8 and any Merchant.
4. Customer Interactions & Transactions
Customers interact directly with Merchants via Merchant storefronts.
Now8:
Does not verify product listings
Does not guarantee product quality or delivery
Does not mediate disputes between Customers and Merchants
Any claims, complaints, or disputes arising from a transaction must be resolved directly with the Merchant.
5. Payments
Payments are processed exclusively by Third-Party Payment Service Providers (PSPs) selected by the Merchant.
Now8 does not process payments, store card data, or handle funds.
Payment processing is subject to the PSP’s own terms and policies.
Chargebacks, refunds, and payment disputes are the sole responsibility of the Merchant and the relevant PSP.
6. Data Routing & System Access
Customer data submitted through a Merchant’s store is routed directly to the Merchant’s account.
Now8 does not access, view, store, or use Customer personal or transactional data.
NuMetric Accounting Technology operates as a separate SaaS system, where Merchants manage their own business data under their own access credentials.
Now8 has no access to Merchant customer databases, order content, or financial records.
7. Platform Availability
The Platform is provided on an “as is” and “as available” basis.
Now8 does not guarantee:
Continuous availability
Error-free operation
Compatibility with all devices or browsers
Maintenance, updates, or service interruptions may occur without notice.
8. Intellectual Property
All Platform software, interfaces, designs, branding, and underlying technology are owned by or licensed to Now8.
Merchants retain ownership of their own content, trademarks, and product information.
Merchants grant Now8 a limited, non-exclusive license to display Merchant content solely for Platform operation.
Unauthorized use of Platform intellectual property is prohibited.
9. Suspension & Termination
Now8 may suspend or disable access to the Platform if a Merchant or user:
Violates applicable laws or regulations
Engages in fraud, abuse, or harmful conduct
Uses the Platform in a way that risks legal exposure or platform integrity
Now8 is not obligated to host illegal or non-compliant content.
10. Limitation of Liability
To the maximum extent permitted by law:
Now8 shall not be liable for any indirect, incidental, or consequential damages.
Now8 shall not be liable for losses arising from Merchant actions, product issues, or Customer disputes.
Total liability, if any, shall be limited to the amount paid to Now8 for Platform use in the preceding 12 months, or zero where no fees were paid.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of [Jurisdiction to be confirmed], without regard to conflict-of-law principles.
12. Changes to Terms
Now8 may update these Terms from time to time. Continued use of the Platform constitutes acceptance of the updated Terms.
